SEC Proposes New Token Rules to Answer the XRP Question

The US Securities and Exchange Commission just proposed a fresh framework called Regulation Crypto Assets. This setup opens a legal route for token sales to local investors and offers a formal exit from strict securities treatment. The proposal creates two exemptions from registration. A one time option covers raises up to $5 million over four years, while a second track allows up to $75 million every twelve months. Both routes need plain narrative disclosures, and larger raises require financial statements and ongoing reports.

This move tackles a major puzzle that started with the long court fight between the SEC and Ripple over XRP. While a past court ruling decided that XRP itself was not a security, projects lacked a clear rulebook for escaping securities status without fighting a judge. The new safe harbor framework gives issuers a specific mechanism to follow once they complete the managerial work they promised buyers. SEC Chairman Paul Atkins noted that the plan aligns with earlier guidance to let assets move out of investment contracts once essential efforts finish.
