One part of the proposal allows startups to raise up to $5 million over four years, provided they meet specific disclosure requirements. A second exemption, modeled after existing rules, creates two tiers for fundraising. These allow for up to $20 million or $75 million in a 12 month period, depending on the level of financial reporting and auditing provided by the issuer.

The proposal also includes a safe harbor provision. This could allow a token to move outside the scope of a security once the issuer finishes their essential managerial work and files the necessary certifications. This creates a potential exit path for projects that have reached full decentralization.

Industry leaders and commission members are now weighing in on the framework, which builds on previous guidance regarding token taxonomy. The public has 60 days to provide feedback on the proposal once it is published in the Federal Register.
