SEC Proposes New Crypto Rules and Token Safe Harbor
The SEC has introduced a new regulatory proposal aimed at creating clearer paths for crypto projects to raise capital and achieve decentralization.
coinbeat.newsThe SEC recently introduced Regulation Crypto Assets, a proposal that creates two new pathways for companies to raise capital. These exemptions allow startups to raise up to 5 million dollars over four years, while larger offerings can reach 75 million dollars every twelve months. Companies using these exemptions must provide clear, narrative disclosures to investors and remain subject to standard fraud and manipulation laws.
Alongside these funding rules, the proposal includes a conditional safe harbor for tokens. This would allow a crypto asset to be officially separated from an initial investment contract. To qualify, issuers must prove they have finished or permanently stopped the essential managerial work they originally promised to investors. This move is designed to help projects reach a point where their token is no longer classified as a security.
Commissioner Hester Peirce noted that this framework will not suit every project, and the commission is now seeking public feedback. This proposal serves as a temporary measure while Congress works on a more permanent legislative solution for the industry. The SEC has opened a 60 day window for the public to comment on these rules before any final decisions are made.
