This move comes at a tense time for the industry. Citadel Securities recently asked regulators to keep equity linked event contracts firmly under the oversight of the Securities and Exchange Commission. The core issue is whether surveillance can actually bridge the gap between traditional finance and new, always on markets. Citadel argues that true oversight requires looking at both the derivative and the underlying asset to prevent insider trading and manipulation.

Even with advanced tech, Nasdaq cannot decide how these products fit into federal law. Currently, the industry faces a mess of different rules. The Commodity Futures Trading Commission uses a certification process that allows for quick listings, while the SEC generally requires a more formal rule change process. These differing paths create confusion about what a product actually is and which regulator should be in charge.

Looking ahead, the market needs more than just better software to move forward. Regulators like the SEC and the CFTC must decide how to classify equity linked perpetuals and other tokenized assets. Until there is clear guidance on whether these items are securities, swaps, or something else, investors should expect continued friction between platforms trying to innovate and agencies trying to maintain traditional boundaries.
