The program, which allocated 20 percent of the company's cap table to its team, has drawn criticism for diluting shareholder value as the firm raised capital to buy bitcoin. Bailey argues that such compensation is reasonable for a team that has achieved significant growth and built a major corporate bitcoin reserve.
The debate centers on how the executive pool grew alongside new stock issuances. Metaplanet previously used a model where the pool size expanded with every equity raise, causing the total potential shares to jump from 46 million to over 300 million. While the board fixed the pool size in August and ended the automatic expansion, critics remain focused on the large number of shares already granted to insiders.
Strive CEO Matt Cole challenged Bailey’s defense by noting that his own company's equity structure is fundamentally different. Cole clarified that shares at Strive were part of a merger agreement rather than a management award. He noted that he does not have an automatic expansion clause and emphasized that his personal stake is significantly smaller than the figures being discussed for Metaplanet.

MSCI is currently deciding whether to remove non operating companies from its equity indexes, a move that could impact both Metaplanet and MicroStrategy.
