Nasdaq listed AsiaStrategy signed agreements to sell all shares of its Singapore subsidiary to two buyers linked to company insiders. The subsidiary holds a 7.07 percent stake in Thailand listed Astra Enterprise. The total price is $10 million, but the buyers only need to pay $2 million across the coming weeks, while the remaining $8 million is deferred for up to a year.

The deals involve Sora Valiant, which is ultimately owned by AsiaStrategy co CEO and board chairman Jason Fang, and Asia Empire Development, which shares a director with AsiaStrategy. Under the terms, the buyers take immediate legal and beneficial ownership of the shares at closing even though 80 percent of the purchase price remains unpaid. Payments can be made in US dollars, USDT, or Hong Kong dollars.

AsiaStrategy management stated that the sale helps avoid regulatory burdens under the US Investment Company Act. However, the filings show no collateral, escrow, or independent fairness opinion backing the deferred millions. The agreements include a carveout for payment delays caused by banking or blockchain processing issues.

Traders and market watchers should monitor upcoming milestones to see if the transactions officially close before the October deadline. The first major test will be whether the buyers deliver the initial $2 million payment, ahead of the final $8 million balance due in August 2027.
